TERMS & CONDITIONS OF SERVICE (WEBSITE VERSION)

These Terms & Conditions (“Agreement”) govern all services provided by Holy Shine Cleaners LLC, a California limited liability company (“Company,” “we,” “our,” or “us”). The person or entity booking, approving, or paying for services is the “Client.”

IMPORTANT NOTICE: By requesting an estimate, scheduling service, approving an estimate, authorizing work, or submitting payment, you acknowledge that you have reviewed and agreed to be legally bound by this Agreement.

1. Services & Scope

Holy Shine Cleaners LLC provides residential and commercial cleaning, maintenance, and related services, including but not limited to:

  • Window cleaning (interior/exterior)

  • Pressure washing and soft washing

  • Roof, gutter, and solar panel cleaning

  • Trash can cleaning

  • Interior cleaning, move-in/move-out, and post-construction cleaning

  • Gutter guard installation

  • Solar panel bird-proofing (non-drilling methods only)

Services are performed based on the approved estimate and site conditions. We reserve the right to adjust methods for safety, material integrity, weather, access limitations, or to prevent damage to property components.

2. Definitions

  • Client: Person/entity authorizing service and responsible for payment

  • Property: Location where services are performed

  • Services: Scope described in the estimate/invoice and agreed communications

  • Technician: Any employee, contractor, or representative of Holy Shine Cleaners LLC

  • Work Area: Any area accessed or affected during service delivery

3. Acceptance, Electronic Signatures & Binding Authorization

Client acceptance may occur through electronic signature, website booking, estimate approval, booking platform acceptance (including Housecall Pro), email, text message, phone-confirmed scheduling followed by written confirmation, or payment submission.

All such approvals are legally valid and binding and constitute acceptance of these Terms & Conditions.

4. Payment Terms

  • Payment is due within seven (7) calendar days of service completion unless otherwise stated in writing (“Net 7”).

  • A $35 late fee may apply to overdue invoices unless otherwise agreed in writing.

  • Estimates may require a deposit in certain scheduling scenarios if stated in writing (deposit terms must be disclosed at the time of booking).

  • If financing is used, it is provided by a third-party lender and governed by a separate Financing Disclosure and credit agreement, not by Holy Shine Cleaners LLC

5. Satisfaction, Notice & Opportunity to Cure

We aim to deliver premium workmanship and clear communication.

  • Any concerns must be reported in writing within 48 hours of service completion.

  • If timely notice is provided, Holy Shine Cleaners LLC may, at its discretion, provide a re-clean or corrective service consistent with the original scope.

  • Refunds are not issued for services already rendered.

Nothing in this section waives claims arising from proven negligence; however, this section establishes a reasonable notice window and opportunity to cure.

6. Pre-Existing Conditions, Results & Material Sensitivity

Client acknowledges that many surfaces and systems may be aged, weathered, brittle, previously repaired, or improperly installed.

Holy Shine Cleaners LLC is not responsible for:

  • Pre-existing damage, deterioration, or prior faulty installations

  • Structural weaknesses, concealed defects, or water intrusion due to pre-existing gaps/seals

  • Fading, oxidation, discoloration, or issues revealed by cleaning

  • Normal wear and tear, environmental fallout, or conditions outside our control

Cleaning and maintenance may reveal existing issues; discovery does not imply causation.

 

7. Hazard Disclosure, Site Conditions & Stop-Work Authority

Client agrees to disclose in writing prior to service any known hazardous, toxic, or dangerous conditions, including but not limited to:

  • Asbestos, lead paint, mold, or biological hazards

  • Structural instability, brittle roof surfaces, unsafe attic/roof access

  • Exposed wiring, unsafe equipment, or chemical contamination

  • Aggressive animals, infestations, or unsafe work conditions

Failure to disclose known hazards transfers responsibility to the Client for resulting injury, damage, or delays.

Holy Shine Cleaners LLC may refuse, pause, or reschedule service if unsafe conditions exist.

8. Installation Services (If Applicable) & Limited Warranty

8.1 Installation Methods & Limits

For gutter guard installation and solar panel bird-proofing:

  • Materials are sourced from third-party manufacturers

  • Approved, non-invasive methods may include mesh, clips, and adhesives

  • No drilling into roofing systems or solar equipment

  • No solar panel removal or repositioning

8.2 Five (5) Year Product Condition Warranty (Condition Only; Not Performance)

Holy Shine Cleaners LLC provides a five (5) year limited warranty covering the physical condition of installed materials only (not performance), provided that:

  • Holy Shine Cleaners LLC performs the required maintenance

  • Maintenance occurs at least once every twelve (12) months

  • No third party services, cleans, repairs, or modifies the system

This warranty covers physical integrity and aesthetics (e.g., detachment, breakage, corrosion) and does not guarantee drainage outcomes, debris exclusion, pest exclusion success, or manufacturer performance.

Warranty is void upon: third-party maintenance/cleaning, modification, removal, or any lapse beyond 12 months without written extension.

9. Insurance

Holy Shine Cleaners LLC maintains:

  • $1,000,000 General Liability Insurance

  • $10,000 Surety Bond

Insurance applies only to direct, verifiable damage caused by Company operations and does not cover manufacturer defects, functional performance of third-party products, pre-existing conditions, or concealed defects.

Claims must be submitted in writing within 48 hours of completion.

10. Independent Contractors & Client Injury Liability

Holy Shine Cleaners LLC may perform services using qualified employees and/or independent contractors.

Company personnel are not employees or agents of the Client, and the Client bears no workers’ compensation liability for Company personnel. Contractors maintain responsibility for their own insurance coverage.

11. Cancellations & Rescheduling

  • 48 hours’ notice required to cancel or reschedule without fee

  • Less than 48 hours’ notice may incur up to a 20% cancellation fee

  • We may reschedule due to weather, unsafe conditions, access restrictions, or other factors affecting safety and quality

12. HOA Requirements

Client is solely responsible for HOA approvals, notices, access permissions, gate codes, parking arrangements, and service windows required by the HOA.

HOA restrictions must be provided in writing before scheduling. Holy Shine Cleaners LLC is not liable for HOA fines, penalties, delays, or disputes outside Company control. Client agrees to indemnify the Company for HOA-related issues arising from Client’s failure to obtain approvals or provide written restrictions.

13. Force Majeure

Holy Shine Cleaners LLC is not liable for delays or inability to perform due to events beyond reasonable control, including severe weather, natural disasters, utility outages, unsafe site conditions, HOA restrictions, governmental orders, or emergencies. Services may be rescheduled or canceled without liability.

14. Indemnification

Client agrees to indemnify, defend, and hold harmless Holy Shine Cleaners LLC from claims arising from:

  • Failure to disclose hazards or unsafe conditions

  • Failure to secure pets/animals or provide access

  • Client-caused injury or property damage

  • Client misrepresentation or breach of authorization obligations

15. Marketing, Photography & Media

Unless Client opts out in writing, Client authorizes:

  • Temporary signage during service

  • Before-and-after photography for documentation and marketing

No identifying personal information will be displayed.

16. Data, Privacy & Website Use

Use of this website is also subject to our Privacy Policy and Cookie Policy (if applicable). Client communications may occur by phone, text, or email for operational updates and service fulfillment. Promotional messaging is sent only as permitted and opt-outs are honored in writing.

17. Attorney’s Fees (Prevailing Party)

In any dispute arising out of or relating to this Agreement, the prevailing party is entitled to recover reasonable attorney’s fees and costs.

 

18. Assignment & Subcontracting

Client may not assign this Agreement without written consent. Holy Shine Cleaners LLC may assign or subcontract performance to qualified providers while maintaining service standards.

19. Severability

If any provision is held unenforceable, the remainder remains in full force and effect.

20. Governing Law & Venue

This Agreement is governed by the laws of the State of California. Venue lies in Los Angeles County, unless arbitration is mutually agreed in writing by both parties.

21. Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding services and supersedes prior discussions or understandings relating to the same subject matter.
